RAYMATIX TERMS OF USE

APPLICATION OF THESE TERMS OF USE

  1. These Terms of Use ("Terms of Use") apply to the relationship between us and you when you use our Service.
  2. As used in these Terms of Use, "our Service", "the Service" means the personalised service for discovering and accessing content currently known as "Raymatix", including all related features and functionalities, services, recommendations, websites, applications, products, user interfaces, as well as all content and software associated with our Service which can be accessed over the Internet on certain Internet connected devices such as smart TVs, computers, mobiles, set top boxes and other devices ("Authorised Devices").
  3. The Service is owned and/or operated by RAYMATIX LTD, a limited liability company registered in Tel Aviv Israel, with its principal place of business located at Azrieli Sarona Tower Tel-Aviv
  4. Israel 83475 ("us", "we", "our"). References to "you" and "your" refers to the individual who ultimately controls use and/or access to the Service and any adult who has been authorised by the Account Owner to create a profile on their Account.
  5. Please read these Terms of Use carefully before using the Service. Your use of the Service indicates your acceptance of these Terms of Use and your agreement to be bound by them. If you do not agree to these Terms of Use, please do not use the Service.

  7. We may amend the Terms of Use at any time. You are expected to check this page from time to time to be aware of any changes to these Terms of Use. By continuing to use the Service after the Terms of Use have been updated, you will be considered to have agreed to those amendments.

THE SERVICE

  1. You must be at least 18 years of age, or the age of majority in your state, province, territory or country, to use the Service. Access to certain services or features of the Services may be subject to age restrictions. Minors may only use the Service with the consent of and under the supervision of an adult.
  2. You are authorised to use the Service and any content accessed through the Service for your personal and non-commercial purposes, and you may not share the Service with individuals beyond your household.
  3. You agree to use the Service, including all features and functionalities associated with it, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the Service or content therein. You agree not to: - archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use content from the Service; - circumvent, remove, alter, deactivate, degrade or thwart any content protections in the Service; use any robot, spider, scraper or other automated means to access the Service; decompile, reverse engineer or disassemble any software or other products; - use the Service for any commercial or unauthorised purpose; - incorporate the Service or any portion thereof into any other programme or product; - impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity; - intimidate or harass another, or promote sexually explicit material, violence or discrimination; - use or attempt to use another's account without authorisation from us; - use the Service in a manner that may create a conflict of interest or undermine the purposes of the Service; - use the Service for any unsolicited or unauthorised advertising, spam, chain letters, or pyramid schemes; - use the Service to engage in or solicit any fraudulent, criminal or other unauthorised activity; - use any artificial intelligence (AI) tool, deepfake technology, or any other automated or manipulative process to alter, misrepresent, or generate deceptive content based on any material available on the Service. Any violation of this provision may result in the immediate suspension or termination of your account, legal action, and any other remedies available under applicable law.
  4. We reserve the right to withdraw or modify the Service without prior notice to you. We are not responsible for the unavailability of the Service for any reason, at any time and for any period.
  5. Software associated with our Service may solely be used for authorised streaming and access of content on our Service through Authorised Devices. You agree that you may automatically receive updated versions of the software and related third-party software.
  6. You are responsible for making all necessary arrangements that enable you to access the Service.

COMMUNITY GUIDELINES

  1. Our Service may contain features and functionality where you can discover, create, upload, share, post, comment, transmit or connect with other users of our Service ("User Content"). We may limit the use of such features.
  2. Whenever you access or use a feature that allows you to upload or transmit User Content through the Service, you must, at all times, be compliant with the following community guidelines.
  3. The following community guidelines may not cover every type of rule or guideline that you must follow. If you are ever in doubt about what is permitted, please remember to be kind and treat others the way that you would want to be treated.
  4. These community guidelines apply to all types of user content, including content, videos, comments, likes, links and shares. We enforce these community guidelines using a combination of human reviewers and machine learning.
  5. In respect of any User Content, you agree not to: - use any private information of any third party; - post any material which does or may infringe any copyright, trademark or other intellectual property or privacy rights; - post any material which is defamatory, obscene, offensive, pornographic, hateful or inflammatory; - post any material that would constitute, encourage or provide instructions for a criminal offence, dangerous activities or self-harm; - post any material that is deliberately designed to provoke or antagonise people, or is intended to harass, harm, hurt, scare, distress, embarrass or upset people; - post any material that contains a threat of any kind, including threats of physical violence; - post any material that is racist or discriminatory; - publish any answers, responses, comments, opinions, analysis or recommendations that you are not properly licensed or qualified to provide.
  6. You warrant that any User Content that you contribute does comply with these Terms of Use and community guidelines, and you will be liable to us and indemnify us for any breach of that warranty.
  7. Any User Content will be considered non-confidential and non-proprietary. When you submit User Content through the Service, you agree and represent that you own that User Content, or you have received all necessary permissions from the owner.
  8. You grant us a royalty-free licence to use your user name and contact information to identify you as the source of any of your User Content.
  9. We, or authorised third parties, have the right – but not the obligation – to remove, disallow, block or delete any posting you make on our Service if your User Content does not comply with these Terms of Use.
  10. We accept no liability in respect of any User Content submitted by users and published by us or by authorised third parties.
  11. By using any feature of the Service which permits User Content, you acknowledge that your interactions may be collected and processed in accordance with our Privacy Policy.
  12. If you share any shareable content that we publish on the Service via third-party platforms, you do so at your own risk and you must comply with the respective platform's terms of service.

PASSWORDS AND ACCOUNT ACCESS

  1. The individual who created the subscriber account on the Service and whose Payment Method is charged is the "Account Owner" and is responsible for any activity that occurs through the Service account. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account.
  2. The Service and any content accessed through the Service are for your personal and non-commercial use only and may not be shared with individuals beyond your household unless otherwise allowed by your subscription plan.
  3. We will never request your credit card details via email or any unsolicited communication. If you receive a suspicious request for payment or personal information, please report it immediately via our Contact Us section.

CONTENT

  1. The Service and all materials therein or transferred thereby, including content, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, and all intellectual property rights related thereto, are the exclusive property of Raymatix and its licensors.
  2. During your legitimate use of the Service, we grant you a limited, non-exclusive, non-transferable right to access the Service and the content published thereon from time to time.
  3. You are not authorised to copy, publish or store in any medium, transmit, broadcast, retransmit, modify or display to the public any portions of the content without our prior written consent.
  4. The content available on the Service will change regularly. The availability of the content is outside our control.
  5. You may access the content primarily within the country in which you have established your account and only in geographic locations where we offer our Service and have licensed such content.
  6. Some content is available for temporary download and offline viewing on certain supported devices ("Offline Titles"). Limitations apply, including restrictions on the number of Offline Titles per account.
  7. The quality of the display of the content may vary from device to device, and may be affected by a variety of factors, such as your location and the bandwidth of your Internet connection. The minimum connection speed for SD quality is 2.0 Mbps; HD requires at least 3.0–5.0 Mbps; Ultra HD (4K) requires at least 17.0 Mbps per stream.

  9. MOST CONTENT AVAILABLE ON THE SERVICE WHICH IS RATED 18+ WILL BE MARKED WITH THIS RATING/CONTENT ADVISORY. HOWEVER, OTHER CONTENT MAY NOT BE RATED, AND MAY CONTAIN GRAPHIC VIOLENCE, SEXUAL CONTENT AND MATURE THEMES. VIEWER DISCRETION IS ALWAYS ADVISED.
  10. User Submissions. All remarks, surveys, suggestions, ideas, graphics, or other information communicated to us through the Service (each, a "Submission") will forever be the property of RAYMATIX. We will not be required to treat any Submission as confidential and will be entitled to use the Submission for any commercial or other purpose whatsoever, without compensation to you.

COPYRIGHT INFRINGEMENT

  1. If you believe that any content appearing on the Service constitutes copyright infringement, please send us the following information via https://Raymatix.com/contact-us: your name, address, telephone number, and email address; a description of the copyrighted work that you claim has been infringed; the exact URL or a description of where the alleged infringing material is located; a statement by you that you have a good faith belief that the disputed use is not authorised; an electronic or physical signature of the person authorised to act on behalf of the copyright owner; and a statement made under penalty of perjury that the above information is accurate.

LINKS

  1. The Service may contain links to other Internet websites. We do not verify, warrant, endorse or take responsibility for the availability, accuracy, completeness, quality, practices or policies of any such third-party website.
  2. You are not permitted to link the Service or any of the content to or from any third-party website without our prior written consent.

ACCESS TO THE SERVICE

  1. We offer the Service through a number of access methods, plans or tiers (collectively the "Access Plans"), including: ad funded plans (AVOD); subscription fee funded plans (SVOD); ad funded subscription fee funded plans; access plans offered by third parties; vouchers and/or coupons; third party owned mobile payment services such as iTunes and Google Play; and plans based on features and functionality.
  2. Each Access Plan will grant you access to the Service for certain periods — seven (7) days, thirty (30) days, three (3) months, twelve (12) months or in the case of ad funded plans, for an unlimited period subject to usage rights.
  3. Access Plans offered to you may depend on your geographical location and/or Authorised Device.
  4. Account Registration and Sign In: You may register directly or via Single Sign On (SSO). You are personally responsible for the use of your account. All information provided at registration must be correct and accurate. You must keep your password confidential.
  5. Payment: You must pay for your Access Plan using a current, valid, accepted method of payment. Subscriptions automatically renew unless cancelled prior to the applicable Renewal Date. We may amend fees at any time with notice.
  6. Promotions: We may offer special promotional plans from time to time. Full Subscription Fees become due upon expiration of any Promotion unless you cancel beforehand.
  7. Vouchers and Coupons: We only allow one voucher/coupon per account, household, telephone number, or Payment Method.
  8. Gift Cards: You can purchase gift cards to redeem against subscription fees. Gift card purchase and use are governed by the special conditions printed on the gift card itself.
  9. Cancellation: You can cancel your Access Plan by following the directions on the Help Center section. You must cancel no less than one (1) full day before a Renewal Date. No refunds will be provided unless required by applicable law.

TERMINATION

  1. We may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms of Use, or for no reason.

INDEMNIFICATION

  1. You agree to defend, indemnify and hold harmless us and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third-party right; (iv) your violation of any applicable law, rule or regulation; (v) User Content or any Submission submitted via your account; (vi) your use of any Content in violation of local law; or (vii) any other party's access and use of the Service with your credentials.

DISCLAIMER OF WARRANTIES

  1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RAYMATIX, ITS SUBSIDIARIES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  2. RAYMATIX DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE.

LIMITATION OF LIABILITY

  1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAYMATIX, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.
  2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAYMATIX ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; ANY UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS; ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED THROUGH OUR SERVICE BY ANY THIRD PARTY; OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

GENERAL

  1. Assignment. This Agreement, your obligations, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
  2. Entire Agreement/Severability. This Agreement, together with any amendments and any additional agreements you may enter into with us in connection with the Service, shall constitute the entire agreement between you and us concerning the Service.
  3. No Waiver. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term.
  4. Jurisdiction and Governing Law. These Terms of Use are governed by the laws of England and Wales and the Dubai International Financial Centre ("DIFC") courts will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Use.
